These Terms of Service govern access to and use of BreadHead's website, services, tools, agents, content, workflows, integrations, automations, communications, work product, and related offerings.
By using BreadHead, buying a BreadHead service, accessing BreadHead work product, connecting a tool, submitting information, or otherwise using the website or services, the customer agrees to these Terms.
If a separate signed agreement, order form, proposal, invoice, checkout page, or written agreement applies to a customer's purchase, that document may include additional terms. If there is a conflict, the written agreement for that purchase controls to the extent of the conflict, unless it says otherwise.
BreadHead provides a managed AI agent department for business owners. BreadHead helps move business work forward while the owner stays in the driver seat.
Services may include AI-assisted research, writing, marketing support, sales support, operations support, support workflows, finance support tasks, legal support tasks, product support, development support, automation, reporting, and related business execution.
BreadHead may use AI tools, software tools, automations, vendors, APIs, connected accounts, and human review to provide services.
BreadHead is not a law firm, accounting firm, medical provider, financial advisor, staffing agency, or licensed professional services firm unless a separate written agreement with a properly licensed professional says otherwise.
BreadHead is for users who are at least 18 years old.
BreadHead may serve customers worldwide, subject to applicable law, platform restrictions, payment availability, and BreadHead's ability to support the customer.
BreadHead does not serve illegal businesses, porn companies, adult-content companies, sexually explicit businesses, or businesses that BreadHead believes create unacceptable legal, platform, safety, payment, or reputational risk.
BreadHead may refuse service, pause service, or end service when it believes use of the service would create unacceptable risk or violate these Terms.
BreadHead does not guarantee revenue, profit, sales, leads, SEO rankings, traffic, conversion rates, deliverability, platform approval, legal compliance, funding, customer outcomes, delivery timelines, uptime, or business success.
Any examples, case studies, estimates, forecasts, recommendations, projections, or sample outputs are for illustration only unless a written agreement says otherwise.
Results depend on many factors outside BreadHead's control, including offer quality, market demand, customer review speed, customer approval speed, budget, tools, competition, platform changes, data quality, execution, and timing.
AI-generated or AI-assisted output can be inaccurate, incomplete, outdated, biased, insecure, noncompliant, or unsuitable for a specific use.
The customer is responsible for reviewing and approving output before using it in public, sending it to customers, relying on it for decisions, deploying it, treating it as final, or using it in a sensitive workflow.
BreadHead may help prepare drafts, research, summaries, recommendations, workflows, automations, code, assets, and business work product. The customer remains responsible for final decisions and final use.
BreadHead may assist with legal support tasks, finance support tasks, hiring support tasks, business support tasks, documentation, research, drafting, organization, and workflow support.
BreadHead does not provide legal, tax, financial, medical, compliance, investment, employment, or other licensed professional advice unless a separate written agreement with a properly licensed professional says otherwise.
Customers should consult qualified professionals before relying on AI-assisted or BreadHead-assisted work for legal, tax, financial, medical, compliance, regulated, or high-risk decisions.
The customer agrees to:
The customer stays in control. BreadHead can help draft, organize, recommend, route, automate, and execute approved workflows, but the customer is responsible for final review, approval, and use.
BreadHead may connect to or use third-party tools such as CRMs, help desks, email tools, AI model providers, automation tools, cloud providers, analytics tools, development tools, communication platforms, payment tools, file tools, collaboration tools, and other apps the customer chooses to connect.
BreadHead can support many possible integrations, so these Terms do not list every possible tool.
BreadHead does not control third-party tools and is not responsible for their downtime, data practices, pricing changes, errors, security issues, policy changes, service limits, output quality, account restrictions, or platform decisions.
A customer's use of third-party tools may be governed by that provider's own terms, privacy policy, fees, usage rules, and technical limits.
The customer may need to grant BreadHead access to certain tools, accounts, files, APIs, data, code repositories, hosting environments, communication platforms, payment tools, or systems.
The customer is responsible for giving appropriate access, keeping credentials secure, approving permission levels, monitoring connected accounts, and removing access when the relationship ends or when access is no longer needed.
BreadHead may refuse to perform actions that appear unsafe, illegal, destructive, irreversible, unclear, outside the agreed scope, or inconsistent with customer approval.
Certain actions may require customer approval, including publishing content, sending customer communications, launching campaigns, changing live systems, deploying code, making account changes, moving money, signing contracts, changing billing settings, taking legal or financial action, or taking actions that are destructive, sensitive, public, or hard to undo.
BreadHead may pause work if approval is missing, unclear, unsafe, or outside the agreed scope.
If the customer approves an action, the customer is responsible for the consequences of that approval and for reviewing the action before it is used, published, sent, deployed, or treated as final.
The following categories always require explicit customer approval before execution: publishing website content or public posts, sending marketing or customer email, launching paid ads, deploying code or changing live systems, moving money or changing billing or payment settings, legal and finance workflows, and customer support replies sent on the customer's behalf.
BreadHead services are billed monthly unless a written agreement says otherwise.
Subscriptions renew automatically until canceled, unless a written agreement says otherwise.
Customers may cancel according to the applicable order form, checkout page, invoice, proposal, or written agreement.
There is no setup fee unless a written agreement says otherwise.
If payment fails or is late, BreadHead may pause or end service.
Unless the applicable written agreement says otherwise: billing is monthly in advance, subscriptions renew automatically each month, cancellations take effect at the end of the billing period already paid for, failed payments may lead to a pause in service until payment is resolved, and plan upgrades take effect when the new plan is accepted and billed.
BreadHead plans may include daily, weekly, monthly, or other usage limits. These limits may include AI bandwidth, agent access, task volume, execution volume, connected workflows, or other service limits.
If a customer reaches the plan limit, agent access or agent work may pause until the next daily, weekly, or monthly reset, depending on the plan. The customer may be able to upgrade to a higher plan if available.
BreadHead may change plan names, plan features, plan limits, or service scope for future purchases. Any current customer terms should be confirmed in the applicable order form, checkout page, invoice, proposal, or written agreement.
There are no refunds, except that a customer may request a refund within the first 30 days after purchase.
Refunds are not automatic. Approval depends on the customer having shown up to the included group calls to get the help they need.
Any other refund, satisfaction guarantee, credit, cancellation right, trial, or risk reversal must be stated in the applicable offer, order form, checkout page, invoice, proposal, or written agreement. None is offered by implication.
Unless a written agreement says otherwise:
Each party may receive confidential information from the other party. Each party agrees to use reasonable care to protect confidential information and not disclose it except as needed to provide services, comply with law, use approved providers, enforce agreements, or protect rights.
Confidential information does not include information that becomes public without a breach, was already known without restriction, is received from another lawful source without restriction, or is independently developed without using confidential information.
The customer may not use BreadHead to:
BreadHead may refuse, pause, or stop work that appears to violate these Terms or create unacceptable risk.
BreadHead may suspend or terminate access if the customer:
The customer may cancel according to the applicable order form, proposal, checkout page, invoice, or agreement.
Upon termination or cancellation, the customer remains responsible for amounts owed, use of completed work, backup of customer data, removal of BreadHead access from customer systems, and any duties that survive under these Terms or a written agreement.
BreadHead services are provided on an as-is and as-available basis unless a written agreement says otherwise.
BreadHead disclaims warranties to the fullest extent allowed by law, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
BreadHead does not warrant that the service, website, AI output, third-party tools, integrations, recommendations, or work product will be error-free, uninterrupted, secure, compliant, suitable for every purpose, or accepted by any platform.
To the fullest extent allowed by law, BreadHead will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, loss of business opportunity, business interruption, or costs of substitute services.
BreadHead's total liability will not exceed the amount paid by the customer to BreadHead in the three months before the event giving rise to the claim, unless applicable law requires otherwise.
Some jurisdictions do not allow certain limitations of liability. In those cases, the limitations apply to the fullest extent allowed by law.
The customer agrees to defend, indemnify, and hold BreadHead harmless from claims, damages, losses, liabilities, costs, and expenses arising from the customer's misuse of the service, violation of law, violation of third-party rights, customer-provided materials, customer-approved actions, connected tools, or breach of these Terms.
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law rules.
Venue will be in the state or federal courts located in Pima County, Arizona, unless applicable law requires otherwise.
BreadHead may update these Terms from time to time. The updated version will be posted with a new last updated date.
Continued use of the website or services after an update may mean the updated Terms apply, unless applicable law or a written agreement requires a different process.
